1. Identification and acceptance
These terms and conditions (the "Terms") govern the contracting and use of the services that Roomlyz ("Roomlyz") provides through the website roomlyz.com. We recommend reading them carefully before subscribing.
Subscribing to our service, as well as using the client panel, implies full and unreserved acceptance of these Terms. If you do not agree with any of them, please do not contract the service.

2. Description of the service
Roomlyz is a software-as-a-service (SaaS) that creates, publishes and maintains professional websites for tourist accommodations —hotels, villas, apartments, country houses and similar. The client manages the content of their website from a simple panel, with no technical knowledge required.
The service is offered in a single plan, whose specific features are described on roomlyz.com at the time of contracting. In general terms:
- Roomlyz plan: a professional, multi-page and multi-language website on the client's domain, with an extended gallery, detailed rooms, statistics, advanced SEO and hosting included.
- Demo or free trial: temporary access to the service so the client can evaluate it before subscribing.
The service is provided on a subscription basis. The client does not acquire the software or the templates, but the right to use them for as long as the subscription remains active.
3. Contracting process
Contracting takes place through roomlyz.com or the client panel. The client selects the billing cycle (monthly or annual) and completes payment through the secure payment gateway.
Once the contract is confirmed, an account is enabled in the client panel and the client receives their access credentials. The client is responsible for safeguarding those credentials and for all activity carried out with them, and must notify us immediately of any unauthorised use.
4. Free trial period
Roomlyz may offer a free trial period, with no card required and no commitment. During that period the client has the website published as a demonstration.
Once the trial period ends without a plan being contracted, the website will be suspended. The trial period does not generate any automatic charge.
5. Prices, taxes and billing
The applicable prices are those published on roomlyz.com at the time of contracting. Unless otherwise stated, the prices shown include the applicable VAT based on the client's country.
The client may choose monthly or annual billing. Under the annual option, the amount corresponding to the twelve months is paid in advance. Invoices are issued electronically and are available in the client panel.
Roomlyz may modify the price of the service. Any change will be communicated with reasonable notice and will apply from the next renewal, never within a period already billed.
6. Payment and automatic renewal
Payment is processed through Stripe, our payment gateway, with the card or payment method provided by the client. The subscription renews automatically at the end of each period (monthly or annual) until the client cancels it.
If a charge fails, retries will be made. If payment is not settled, Roomlyz may suspend the service until the debt is paid.
7. Domain name registration and management
Upon contracting the plan, Roomlyz will manage and include the registration of the selected domain name on behalf of the client. The client grants their express consent for Roomlyz to act as their technical representative for such registration. The domain is and will always be the property of the client.
The client is solely responsible for the choice of the domain name and warrants that such name does not infringe any trademark, trade name or other third-party rights. Roomlyz acts exclusively as a technical intermediary for the registration and assumes no liability for the name chosen by the client.
While the subscription remains active, Roomlyz will handle the management and renewal of the domain. Upon termination of the service, the client may request the transfer of the domain to their own account or registrar, and Roomlyz will facilitate such transfer, without prejudice to any applicable registration costs.
Where, during the trial period or on a transitional basis, the website is published on a subdomain of roomlyz.com (for example, name.roomlyz.com), such subdomain belongs to Roomlyz and is provided only temporarily, without the client acquiring any right over it.
8. Term, cancellation and suspension
The subscription has an indefinite term and remains in force until the client cancels it. The client may cancel at any time from their panel; cancellation takes effect at the end of the period already paid, keeping the service until that date.
Except for any applicable legal right of withdrawal, amounts corresponding to a period already started are not refunded. Once the subscription ends, the website will be suspended and the content will be kept for a period of 90 days in case the client wishes to reactivate it.
Roomlyz may suspend or terminate the service in the event of non-payment or serious breach of these Terms by the client.
9. Client obligations and content
The client undertakes to provide truthful and lawful information, and not to publish through the service any unlawful, offensive, misleading content or content that infringes third-party rights. The client warrants that they hold the necessary rights over the texts, images and other materials added to their website.
The client is solely responsible for the content of their website. Roomlyz acts as a mere technical provider and does not review content in advance, although it may remove content that is manifestly unlawful or that is required to be removed by a competent authority.
10. Intellectual property
The client retains ownership of the content they provide. By contracting, the client grants Roomlyz a non-exclusive licence to host, reproduce and publicly communicate such content for the sole purpose of providing the service.
The platform, templates, designs, source code and the Roomlyz brand are owned by Roomlyz and are protected by intellectual and industrial property regulations. Contracting does not imply the transfer of any right over them beyond the right of use described in these Terms.
11. Data protection
The processing of the client's personal data is governed by our Privacy Policy. As regards the personal data of visitors or guests processed through the client's website, Roomlyz acts as a data processor on behalf of the client, who is the data controller, processing such data solely in accordance with their instructions and these Terms.
Both parties undertake to comply with the General Data Protection Regulation (GDPR) and other applicable regulations.
12. Service availability and support
Roomlyz uses reasonable means to keep the service continuously available, although it does not guarantee uninterrupted availability. Temporary interruptions may occur due to maintenance, updates or causes beyond our control.
Support is provided by email, with reasonable response times.
13. Warranties and limitation of liability
The service is provided "as is", according to the features described in the plan. To the extent permitted by law, Roomlyz will not be liable for indirect damages, loss of profit, lost bookings or lost revenue arising from the use of, or inability to use, the service.
Roomlyz's total liability towards the client, on any grounds, will be limited to the amount actually paid by the client during the twelve months prior to the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, nor the rights to which the client is entitled as a consumer.
14. Changes to the terms
Roomlyz may modify these Terms to adapt them to legislative or technical changes or changes to its services. Substantial modifications will be communicated to the client with reasonable notice. Continued use of the service after the changes take effect implies acceptance of them.
15. Assignment
The client may not assign their contractual position or the rights arising from these Terms without the prior written consent of Roomlyz. Roomlyz may assign the contract to a group entity or as a result of a corporate transaction, in any case ensuring that the service conditions are maintained.
16. Governing law and dispute resolution
These Terms are governed by Spanish law. For the resolution of any dispute, the parties submit to the courts of Roomlyz's registered address, unless the applicable consumer regulations establish a different jurisdiction.
If the client acts as a consumer, they also have access to the European Commission's online dispute resolution platform, available at ec.europa.eu/consumers/odr.
